Terms of Service

1. Agreement to Terms

By accessing or using TikPay's services, including our payment SDK, website, and related applications (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

2. Description of Services

TikPay provides a payment SDK that enables:

• Stablecoin (USDC) payments on the Sui blockchain
• User authentication via zkLogin (Google OAuth)
• Wallet generation without seed phrases
• Developer tools for payment integration

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

4. Account and Security

When you authenticate with TikPay:

• You are responsible for maintaining the security of your Google account
• Your blockchain wallet is generated using zkLogin and is controlled by your Google credentials
• You are solely responsible for all activities conducted through your account
• You must notify us immediately of any unauthorized use

5. Acceptable Use

You agree NOT to:

• Use our Services for any illegal purpose or in violation of any laws
• Engage in money laundering, terrorist financing, or other financial crimes
• Attempt to circumvent any security measures
• Interfere with or disrupt our Services
• Use automated systems to access our Services without permission
• Impersonate any person or entity
• Use our Services in jurisdictions where cryptocurrency is prohibited

6. Transactions

6.1 Blockchain Transactions

All transactions are processed on the Sui blockchain and are:

• Irreversible once confirmed
• Subject to network fees (gas fees)
• Publicly visible on the blockchain

6.2 Your Responsibility

You are solely responsible for verifying transaction details before confirmation. TikPay cannot reverse, cancel, or modify blockchain transactions.

7. Fees

TikPay may charge fees for certain services. All applicable fees will be disclosed before you complete a transaction. Network (gas) fees are determined by the Sui blockchain and are not controlled by TikPay.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are owned by TikPay and protected by intellectual property laws. You may not copy, modify, or distribute our content without prior written consent.

9. Risk Disclosure

By using TikPay, you acknowledge and accept the following risks:

• Volatility Risk: Cryptocurrency values can fluctuate significantly
• Regulatory Risk: Laws regarding cryptocurrency may change without notice
• Technical Risk: Blockchain networks may experience delays, congestion, or failures
• Security Risk: Despite our security measures, no system is completely secure
• Irreversibility: Blockchain transactions cannot be reversed or cancelled
• Loss of Access: Loss of your Google account credentials may result in permanent loss of access to your funds
• Smart Contract Risk: Smart contracts may contain bugs or vulnerabilities

You should only use funds that you can afford to lose. TikPay is not responsible for any losses incurred due to the inherent risks of cryptocurrency transactions.

10. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION
• WARRANTIES THAT DEFECTS WILL BE CORRECTED

TikPay does not provide financial, investment, legal, or tax advice. You are solely responsible for determining whether any transaction is appropriate for you.

11. Limitation of Liability

IN NO EVENT SHALL TIKPAY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY OF THE FOLLOWING:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Loss of cryptocurrency or digital assets
• Damages arising from unauthorized access to your account
• Damages arising from blockchain network failures or delays
• Damages arising from third-party services (Google, Sui Network, etc.)
• Any damages exceeding the amount you paid to TikPay in the past 12 months

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless TikPay and its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights
• Any content you submit or transmit through the Services

13. Compliance with Laws

You represent and warrant that:

• You are not located in, or a citizen or resident of, any sanctioned country
• You are not on any sanctions list (OFAC, UN, EU, etc.)
• Your funds are not derived from illegal activities
• You will not use the Services for money laundering or terrorist financing
• You will comply with all applicable laws in your jurisdiction

TikPay reserves the right to implement KYC (Know Your Customer) procedures and may suspend or terminate accounts that fail to comply with verification requirements.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Suspected fraudulent or illegal activity
• Request by law enforcement or government agencies
• Unexpected technical or security issues
• Extended periods of inactivity

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall survive.

15. Dispute Resolution

Informal Resolution: Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally within 30 days.

Arbitration: Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Seoul, Republic of Korea, in accordance with the rules of the Korean Commercial Arbitration Board (KCAB).

Class Action Waiver: YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Seoul, Republic of Korea, and you consent to the jurisdiction of such courts.

17. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by TikPay, constitute the entire agreement between you and TikPay concerning the Services and supersede all prior agreements, understandings, and communications.
